Terms of Service

1. Acceptance of Terms

By accessing or using Zynoviq's products, services, website, or platform (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, you must not use the Services.

2. Description of Services

Zynoviq provides enterprise artificial intelligence software, including but not limited to ProfitGuard, HalluGuard, VanRakshak, SupportGuard, LLFI, and associated SAP plugin integrations. Services may be deployed on-premise, in the customer's cloud, or in a hybrid configuration as specified in the applicable subscription agreement.

3. Account Registration

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

Access to the Services requires a valid subscription. Fees are as set forth in the applicable order form or subscription agreement. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 60 days' written notice prior to the next renewal period.

5. Intellectual Property

All rights, title, and interest in the Services, including software, algorithms, models, documentation, and trademarks, remain the exclusive property of Zynoviq Private Limited. Your subscription grants a limited, non-exclusive, non-transferable license to use the Services during the subscription term. You retain all rights to your data processed through the Services.

6. Data Ownership and Security

You retain full ownership of all data you provide to or process through the Services ("Customer Data"). We will not access, use, or disclose Customer Data except as necessary to provide the Services or as required by law. For on-premise deployments, Customer Data never leaves your infrastructure.

7. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to reverse engineer, decompile, or disassemble any part of the Services; (c) interfere with the security or integrity of the Services; (d) resell or sublicense the Services without prior written consent; or (e) use the Services to develop competing products.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zynoviq's total aggregate liability under these terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim. In no event shall Zynoviq be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Warranty Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10. Termination

Either party may terminate the subscription as specified in the applicable order form. We may suspend or terminate access immediately if you breach these terms. Upon termination, your right to use the Services ceases, and we will make your data available for export for 30 days.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
